Our website serves as an informational platform and a means of initiating contact. No binding service contract is formed solely through website use or form submission. A binding agreement requires a duly executed written instrument signed by an authorized representative of BG HANDYMAN LLC.

3. Intellectual Property Rights

3.1 Our Intellectual Property

3.2 Client Deliverables

Unless otherwise agreed in writing, BG HANDYMAN LLC assigns to the client all rights, title, and interest in custom deliverables created specifically for the client under a paid Statement of Work, excluding our pre-existing materials described in Section 3.1, which are licensed to the client on a perpetual, royalty-free, non-exclusive basis for use solely in connection with the deliverables.

4. User Representations and Obligations

By using our website and services, you represent and warrant that:

• All information you submit, whether through our contact forms or otherwise, is truthful, accurate, current, and complete.
• You have the legal capacity to enter into these Terms, and you are at least eighteen years of age.
• If you are using the website on behalf of an organization, you have the authority to bind that organization to these Terms.

7. Disclaimer of Warranties

The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Hillsborough County, Florida. You irrevocably submit to the personal jurisdiction of such courts and waive any objection based on improper venue or forum non conveniens.

Before initiating formal legal proceedings, you agree to first contact us at assist@bghandyman.buzz and attempt to resolve the dispute informally. Both parties agree to participate in good faith negotiations for a period of at least thirty days before resorting to litigation.

10. Terms Specific to Managed Services Clients

If you have entered into a separate Managed Services Agreement or other written service contract with BG HANDYMAN LLC, the terms of that agreement shall govern the provision of our services. In the event of any conflict or inconsistency between these general Terms of Service and a separately executed written agreement, the provisions of the separately executed written agreement shall prevail.

For managed services clients, the following additional provisions apply:

• Service Level Agreements: Any uptime guarantees, response time commitments, and support escalation procedures are set forth exclusively in your individual service contract, not on this website.
• Data handling: Our obligations with respect to data you entrust to us in the course of service delivery are governed by the data processing terms incorporated into your service contract and our Privacy Policy.
• Termination: Either party may terminate a managed services relationship in accordance with the termination provisions specified in your service contract. Termination of services does not relieve either party of obligations accrued prior to the effective date of termination.

11. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time by posting the updated Terms on this page. The date at the top of these Terms indicates when they were last revised. Material changes will be communicated through a notice on our homepage or, for active clients, via email to the address we have on file.

Your continued use of our website or services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the website and services. It is your responsibility to review these Terms periodically for changes.

12. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and any separately executed written agreements, constitute the entire agreement between you and BG HANDYMAN LLC concerning the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether oral or written.

• Force Majeure: Neither party shall be liable for any failure or delay in performance under these Terms, other than payment obligations, due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government orders, pandemic, labor disputes, telecommunications failures, or Internet service interruptions.
• Relationship of the Parties: Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, or employment relationship between you and BG HANDYMAN LLC. You have no authority to bind us in any respect.
